(TechFusion) is engaged in the business of designing and developing computer-related software and other services. We have created and developed software packages such as FUSE and 30Plus geared, towards bringing financial services closer to unbanked and underserved Africans.
Our Software Terms and Conditions generally known as (“Terms”) contained herein is a legal agreement between you, as a prospective customer/user of TechFusion’s products & services and TechFusion IT Solutions (TechFusion, “we”, “our” or “us”) and will govern your access to and use of TechFusion’s services which include all aspects/features of the TechFusion software, mobile applications and other products and services (collectively referred to as the “Services”). These Terms are binding to your use of the Services and by using any of our Services, you expressly agree to all terms and conditions contained herein in full and without limitation or qualification, including but not limited to our Privacy Policy. Kindly decline use of any of the Services, if you have any objection to any of these Terms.
The language that will govern these terms and all communication between TechFusion and you will be English language.
If you are accepting these Terms and using the Services for yourself or on behalf of a company, business, or organization, you represent and warrant that you are authorized to do so. You may use the Services only if you agree to form a binding contract with TechFusion and are not a person barred from receiving services under the laws of all the applicable jurisdiction.
TechFusion’s software and services are directed to people from the ages of 18 and above. You can only use the Services if you are 18 years or older. We do not knowingly engage people younger than the age of 18.
Unless otherwise stated, TechFusion and/or its affiliates own the intellectual property rights and materials on the software subject to the license below. All text, formatting (including without limitation the arrangement of materials on the TechFusion software and the graphics, animation, tools, commercials, music, video, articles, sound, copy, trade names, logos and other materials and information on the software are subject to the intellectual property rights of TechFusion and its affiliates (collectively the “Content”).
We do not grant you any right, license, title or interest to any of our intellectual Property rights which you may or may not have access to. These Content may not be copied, reverse engineered, decompiled, disassembled, modified or reposted to other softwares.
Nothing on the TechFusion software should be construed as granting by implication or otherwise, any license or right to use any Trademark displayed on the TechFusion software without the written permission of TechFusion or such third party that may own the Trademark.
You agree to take such actions including any legal or official document or other documents that may be needed to further affirm our intellectual property rights.
TechFusion grants you a non-assignable, non-exclusive and revocable license to use the software provided as part of our services in the manner permitted by these Terms. This license grant includes all updates, upgrades, new versions and replacement software for you to use in connection with our services.
The services are protected by copyright, trademark, and other laws of both Nigeria and applicable foreign countries. Nothing in this Term gives you a right to use the TechFusion’s name or any of TechFusion’s trademarks, logos, domain names, and other distinctive brand features. All right, title and interest in and to the services are and will remain the exclusive property of TechFusion and its affiliates.
All and any feedback, comments, or suggestions you may provide to us and our services is entirely voluntary and we will be free to use such feedback, comments or suggestion as we see fit without any obligation to you.
TECHFUSION WILL ALWAYS ENSURE THAT THE SOFTWARE IS AVAILABLE AT ALL TIMES AND BUG FREE. HOWEVER, IT IS USED AT YOUR OWN RISK. YOUR USE OF OUR SERVICES ARE AT YOUR OWN RISK AND YOU ALONE WILL BE RESPONSIBLE FOR ANY DAMAGE THAT RESULTS IN LOSS OF DATA OR DAMAGE TO YOUR COMPUTER SYSTEM. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN OBTAINED BY YOU FROM OUR SOFTWARE OR OUR SERVICES WILL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED.
Please ensure you use your virus protection software or application as we cannot guarantee that our Services will be free from viruses or bugs.
You must not attempt to gain unauthorized access to our Services, computers or databases. You must not misuse our Services by introducing trojans, viruses or other materials which are malicious or technologically harmful.
YOUR USE OF TECHFUSION’S SERVICES IS AT YOUR OWN RISK. YOU AGREE TO THE LIMITATION LIABILITY CLAUSE TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: TECHFUSION WILL IN NO WAY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL PUNITIVE, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES OR ANY DAMAGES INCLUDING DAMAGES RESULTING FROM REVENUE LOSS, PROFIT LOSS, USE, DATA, GOODWILL , BUSINESS INTERRUPTION OR ANY OTHER INTANGIBLE LOSSES (WHETHER TECHFUSION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR NOT) ARISING OUT OF TECHFUSION’S SOFTWARE OR SERVICES (INCLUDING, WITHOUT LIMITATION TO INABILITY TO USE, OR ARISING FROM THE RESULT OF USE OF TECHFUSION’S SOFTWARE OR SERVICES) WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, TORT, CONTRACT, STATUTE OR ANY OTHER LEGAL THEORY. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON THE SCOPE AND DURATION OF SUCH WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU IN THEIR ENTIRETIES, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
You hereby indemnify TechFusion and undertake to keep TechFusion, its staff and affiliates indemnified against any losses, damages, costs, liabilities and expenses (including without limitation reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms. You will indemnify and hold TechFusion harmless from and against any claim, suit or proceedings brought against TechFusion arising from or in connection with violations of Intellectual Property or other rights of third parties in relation to your use of the Services.
Without prejudice to TechFusion’s other rights under these Terms, if you breach these Terms in any way, TechFusion may take such action as TechFusion deems appropriate to deal with the breach, including suspending your access to the software, prohibiting you from accessing the software, blocking computers using your IP address from accessing the software, contacting your internet service provider to request that they block your access to the software and/or bringing court proceedings against you.
Like many other softwares, we use cookies to identify you as a user and to customize and improve our services. A cookie is a small data file that is transferred to your computer or mobile device. It enables us to remember your account log-in information, IP addresses, web traffic, number of times you visit, date and time of visits. Some browsers may automatically accept cookies while some can be modified to decline cookies or alert you when a software wants to place a cookie on your computer. If you do choose to disable cookies, it may limit your ability to use our software.
TechFusion recognizes the importance of protecting the privacy of those who visit and choose to use the TechFusion Services. TechFusion remains compliant with the Payment Card Industry Data Security Standard (PCI/DSS) requirement to the extent applicable. Please note that such requirements may be amended from time to time. With respect to all the Personal Information belonging to, and/or processed in connection with TechFusion or this software, such Personal Information at all times are in compliance with all Data Protections Laws in the territory, in all respect and in particular the Nigeria Data Protection Regulation 2019 and all applicable data protection regulation in force. TechFusion maintains a Privacy Policy which provides an overview of the Personal Information we collect about you or that you provide to us and how we store and use the information provided by you in line with applicable Data protection legislations. By using the TechFusion Services, you consent to such processing and you commit to provide accurate information.
These Terms shall be interpreted and governed in accordance with the Laws of the Federal Republic of Nigeria and you submit to the non-exclusive jurisdiction of the Courts located in Nigeria for the resolution of any dispute.
TechFusion reserves the right to change, revise or modify these Terms from time to time by updating this page. The changes will not be retroactive, and the most current version of the Terms which will always be on this page and will continue to govern our relationship with you. We will also try to notify you of any material changes which could be done via email associated with your account or service notification. By continuing to use our services after the changes become effective, you agree to be bound by the revised Terms.
These Terms supersedes and extinguishes all previous agreements between you and TechFusion whether written or oral, relating to its subject matter. In the event that any of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full effect. TechFusion’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Company will provide Technical Support to Customer via both telephone and electronic mail on weekdays during the hours of 9:00 am through 5:00 pm Pacific time, with the exclusion of Federal Holidays (“Support Hours”). Customer may initiate a helpdesk ticket during Support Hours by calling [888-888-888] or any time by emailing [[email protected]]. Company will use commercially reasonable efforts to respond to all Helpdesk tickets within one (1) business day.
1. The Services shall be available 99.9%, measured monthly, excluding holidays and weekends and scheduled maintenance. If Licensee requests maintenance during these hours, any uptime or downtime calculation will exclude periods affected by such maintenance.
2. Further, any downtime resulting from outages of third party connections or utilities or other reasons beyond Licensor’s control will also be excluded from any such calculation.
3. Licensor will report within 10 to 30 minutes any downtime to the Licensee even if the Licensee is experiencing the downtime or not, and will do its best to resolve all downtimes (whether discovered by the Licensor or reported by the Licensee) within 48hrs of notification. Licensee’s sole and exclusive remedy, and Licensor's entire liability, in connection with Service availability shall be that for each period of downtime lasting longer than one hour, after the 48 hours period, Licensor will credit Licensee 5% of Service fees for each period of 30 or more consecutive minutes of downtime; provided that no more than one such credit will accrue per day.
4. Downtime shall begin to accrue as soon as Licensee (with notice to Licensor) recognizes that downtime is taking place, and continues until the availability of the Services is restored.
5. In order to receive downtime credit, Licensee must notify Licensor in writing within 24 hours from the time of downtime, and failure to provide such notice will forfeit the right to receive downtime credit. Such credits may not be redeemed for cash and shall not be cumulative beyond a total of credits for one (1) week of Service Fees in any one (1) calendar month in any event. Licensor will only apply a credit to the month in which the incident occurred.
6. Licensor’s blocking of data communications or other Service in accordance with its policies (as stated on our website as Acceptable Use Policies) shall not be deemed to be a failure of Licensor to provide adequate service levels under this Agreement.
7. Licensor will provide Technical Support to Licensee via both telephone and electronic mail on weekdays during the hours of 9:00 am through 4:00 pm with the exclusion of Federal Holidays (“Support Hours”).
Alerts, Notifications and Service Communications
By creating a User Account, you automatically sign up for various types of alerts via e-mail and mobile notification. In these communications, we may include your name, or email address and information about your account/portfolio(s) if you are a user. Anyone with access to your e-mail or mobile device will be able to view these alerts. You may unsubscribe from marketing oriented emails at any time.
All information and documents obtained by TechFusion or its employees, consultants or agents which are not published or otherwise publicly available shall be kept confidential and not disclosed to third parties or the public. This restriction shall not apply to any information disclosed to legal advisers, or to a third party to the extent that this is required, by any court of competent jurisdiction, or by a governmental or regulatory authority in Nigeria. This covenant shall survive termination of this Agreement. You hereby acknowledge receipt of and consents to TechFusion’s privacy policy.
If you are using TechFusion’s investment module, you hereby appoint TechFusion as your account/portfolio manager and grant a limited power-of-attorney with discretionary trading authority to manage and trade the assets in your User Account. TechFusion accepts this appointment under the terms and conditions set forth in this Agreement and the Terms and Conditions set forth on our website, which will change periodically and without your consent. Our authority will include the ability to manage your account utilizing your selected TechFusion investment model to:

The management fee for each strategy is based on the aggregate net asset value in the Client's User Account.
The annual management fee will be accrued daily and collected monthly or if a Client terminates his or her account before a month-end the management fee will be pro-rated. management fees will also be pro-rated based on additions or withdrawals to the User Account during the applicable billing period.
If a Client requests a withdrawal that will result in insufficient assets to pay any fees that are due at the time of the withdrawal, fees will be collected at the time of the withdrawal.
Other Fees You hereby acknowledge that may incur certain other charges imposed by third-party financial institutions. These additional costs may include, and are not limited to bank transfer fees, transfer taxes etc. You understand that these fees are not included in the fee that you pay to TechFusion. Fee Payment By signing this Agreement, you authorize TechFusion to deduct any fees applicable to your User Account directly from your User Account (the "Account Fees").
Payment of fees generally will be made first from Account assets in cash, next from the liquidation of cash equivalents, and finally from liquidation of securities held in your Account. Until you terminate your Account, you will be deemed to reaffirm continuously your agreement that TechFusion may deduct the Account Fees from your Account.
You understand and acknowledge that the investment results you could obtain from investment information and financial insights provided by TechFusion cannot be guaranteed and that TechFusion cannot be held responsible. All investments entail a risk of loss and that you may lose money. Investment management services may be offered to individuals who become clients, at the sole discretion of TechFusion. Your election to engage our savings and investment services are subject to your explicit enrollment and acceptance of this Terms of Use. You agree and understand that your use of TechFusion is for educational purposes only and is not intended to provide legal, tax or financial planning advice. You agree as a User that you are responsible for your own investment research and investment decisions, that TechFusion is only one of many tools you may use as part of a comprehensive investment education process, that you should not and will not rely on TechFusion as the primary basis of your investment decisions and, except as otherwise provided for herein, TechFusion will not be liable for decisions/actions you take or authorize third parties to take on your behalf based on information you receive as a User of TechFusion or information you otherwise see on our website.
You understand and agree that we provide the Services for other Clients. You further understand that we and our affiliates may take investment action on behalf of such other Clients, that differ from investment action taken on behalf of your account.
You recognize that there may be loss or depreciation of the value of any investment and the assets due to the fluctuation of market values, and accordingly the value of your Account will change and may decrease. You represent that we have not made any guarantee, either oral or written, that your investment objective will be achieved or that the value of any Account assets will not decline. Nothing in this Agreement may be interpreted to limit or modify our fiduciary duties to you and nothing in this Agreement shall be deemed a waiver of any right or remedy that you may have under the applicable laws.
IN NO EVENT SHALL TechFusion OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF TechFusion, CONTENT AND/OR USER INFORMATION, INCLUDING BUT NOT LIMITED TO THE QUALITY, ACCURACY, OR UTILITY OF THE INFORMATION PROVIDED AS PART OF OR THROUGH TechFusion OR FOR ANY INVESTMENT DECISIONS MADE ON THE BASIS OF SUCH INFORMATION, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT TechFusion HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND IN NO EVENT SHALL TechFusion'S CUMULATIVE LIABILITY TO YOU EXCEED ₦10,000.
You represent and warrant the following and shall promptly notify TechFusion if any of the following ceases to be true and accurate:
Where we discover that the representations above are untrue or inaccurate or that our Electronic Platform is being used to launder money or for any suspicious transactions, we have an obligation to report your activities to the relevant authorities without recourse to you.

Each of us can end this agreement at any time, subject to the maturity of all plans. We may terminate or suspend your access to TechFusion's services, at any time with prior notice to you if your account is found to be fraudulent. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting, publishing, or otherwise making available any User information, emails, or other materials that are believed to violate these Terms of Use. Any suspension, termination, or cancellation shall not affect your obligations to TechFusion under these Terms of Use (including but not limited to ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension, termination, or cancellation.
TechFusion grants you a license to use our website and mobile applications so long as you comply with all our rules.

In the event that any provision in these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of a party to enforce any right or provision of these Terms of Use will not be deemed a waiver of such right or provision. You may not assign this Agreement (by operation of law or otherwise) without the prior written consent of TechFusion, and any prohibited assignment will be null and void.
TechFusion may assign this Terms of Use Agreement or any rights hereunder without your consent. The relationship of the parties under these Terms of Use is that of independent contractors, and these Terms of Use will not be construed to imply that either party is the agent, employee, or joint venture of the other. Note that if you elect to become a Client, the relationship of the parties will be governed by these Terms of Use, our Privacy Policy and any additional terms to which you agree when you create and fund an investment account. We reserve the right to change this Agreement by posting a revised Terms of Use and we agree that changes cannot be retroactive. If you don't agree with these changes, you must stop using TechFusion. You agree the only way to provide us legal notice is at the address provided in Section 9.5
TechFusion is only for use in Nigeria
TechFusion is only available for use in Nigeria. We make no representation that TechFusion is appropriate or available for use outside Nigeria. Similarly, we make no representations that accessing TechFusion from locations outside Nigeria is legal or permissible by local law. If you access TechFusion from areas outside of Nigeria, you do so at your own risk and are yourself responsible for compliance with local laws.
This Agreement, together with the TechFusion's Privacy Policy and Client Agreement (if applicable) form the complete and exclusive agreement between you and TechFusion with respect to your use of our website and mobile app, and other subject matters contemplated by this Agreement, superseding and replacing any and all prior or contemporaneous agreements, communications, and understandings, both oral and written, regarding that subject matter.
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
You understand and agree that we act as a portfolio manager for Clients and will continue to do so. We and our personnel or affiliates may make recommendations and take action for Clients that may differ from the recommendations we give to you or the action we take on your behalf. In addition, our personnel may take actions for their own accounts based on their own investment situations that differ from the recommendations we give you or actions we take on your behalf.
You agree to notify TechFusion if you have any reason to believe your email address or account may have been compromised by any third party.
